By accessing this website or engaging Digibeacon BPO Inc. ("Digibeacon," "we," "us") for services, you agree to these Terms of Service. If you do not agree, please do not use this website. Specific engagements are governed by separate signed agreements, statements of work, or subscription terms, which prevail over these general terms where they conflict.
Digibeacon provides ClickUp license reselling (Philippines only), ClickUp implementation services, and ClickUp managed services, along with related consulting. Service descriptions, pricing, and delivery timeframes on this website are indicative and are confirmed in your quote, proposal, or subscription agreement.
ClickUp license pricing, including regional and volume discounts of up to 30%, is quoted per client based on seat count, plan, and term, and is subject to ClickUp's own terms of service and our reseller agreement. Quoted prices are valid for the period stated in the quote. Managed services prices are in US dollars; Philippine clients receive local invoicing with applicable VAT itemized.
Managed services plans carry a three-month minimum initial term, after which they continue month to month and may be cancelled with notice effective at the end of the current billing month. Plans may be upgraded or downgraded monthly. The request queue operates with a set number of active requests per plan; a request is a single, well-defined task, and larger work may be split into steps or scoped as a separate project.
You are responsible for providing timely access, information, and feedback needed to deliver the services; for maintaining your own ClickUp subscription where licenses were not purchased through us; and for the accuracy of information you provide. Delivery timeframes assume reasonable client responsiveness.
Workspace configurations, workflows, dashboards, automations, and documentation we build for you belong to you upon full payment. The BEACON Framework, our methodologies, templates, and pre-existing materials remain the property of Digibeacon; you receive a non-exclusive license to use them within your organization as embedded in your deliverables. ClickUp and other third-party marks belong to their respective owners.
Each party agrees to keep the other's non-public business information confidential and to use it only for the purposes of the engagement. This obligation survives the end of any engagement.
We deliver services with professional skill and care consistent with industry standards. Except as expressly stated in a signed agreement, services and website content are provided "as is," and we do not warrant that ClickUp or any third-party platform will be uninterrupted or error-free, as these are operated by their respective providers.
To the maximum extent permitted by law, Digibeacon's total liability arising from or related to the services shall not exceed the fees paid by you for the services giving rise to the claim in the three months preceding the event. We are not liable for indirect, incidental, or consequential damages, including lost profits or data, except where such limitation is not permitted by law.
These terms are governed by the laws of the Republic of the Philippines. Disputes shall be subject to the exclusive jurisdiction of the courts of Muntinlupa City, Philippines, unless a signed agreement provides otherwise.
We may revise these terms from time to time. Continued use of the website after changes are posted constitutes acceptance of the revised terms.
